Shareholders are advised that all resolutions put to the vote at the 19th, 20th, 21st and 22nd ANNUAL GENERAL MEETINGS of the Company held on 30 July 2025 were passed with the requisite majorities, as tabulated below.

SPECIAL BUSINESS
1. THAT the Directors be and are hereby authorized to implement the First Mutual Holdings Limited Share Option Scheme (2025) and to set aside 3% of the Company’s issued share capital for this purpose. (See note below.) Passed
2. THAT the Company be authorized to make loans to Executive Directors in terms of Section 208 of the Companies and Other Business Entities Act [Chapter 24:31], subject to certain conditions. Passed
3. As a Special Resolution THAT the Company be authorized in terms of section 129 of the Companies Act [Chapter 24:31] to purchase its own shares, subject to certain conditions. Passed

 

NOTE: After consultation with shareholders, the Share Grant Scheme was amended to a Share Option Scheme which requires participants to pay 40% of the market price of the shares on the date of exercise. No other changes were made to the Scheme.
